Terms of Service

Effective date: September 19, 2024Welcome to the Jaine, Inc. (“Jaine”, “us” “we” or “our”) website. Please read these Terms of Service (the “Terms”) carefully because they govern your use of our websites including jaine.ai, app.jaine.ai and any other websites that we may later own or operate (each, a “Site,” and collectively, the “Sites”) including a mobile and desktop applications (“Apps”), application program interfaces (“APIs”), software development kits (“SDKs”), a community or ecosystem site containing proprietary and 3rd party tools and plugins, and our collaboration tools and other products and services we may later own or operate (collectively, with the Sites, Apps, APIs, and SDKs, the “Services”). A Jaine Community or Ecosystem may be one of the Services we provide, but Community or Ecosystem Resources, which are created by users or partners, are not part of the Services we provide and are instead governed by your terms with the creator (“Community or Ecosystem Creator”) of the Community or Ecosystem Resource.ARBITRATION NOTICE: UNLESS YOU OPT OUT OF ARBITRATION WITHIN 30 DAYS OF THE DATE YOU FIRST AGREE TO THESE TERMS BY FOLLOWING THE OPT-OUT PROCEDURE SPECIFIED IN THE “DISPUTE RESOLUTION” SECTION BELOW, THESE TERMS WILL, WITH LIMITED EXCEPTION, REQUIRE YOU TO SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION SOLELY ON AN INDIVIDUAL BASIS, AND NOT AS PART OF A CLASS, REPRESENTATIVE OR CONSOLIDATED ACTION.1. Agreement to these Terms
By using the Services, you agree to be bound by these Terms. If you are accessing and using the Services on behalf of a company (such as your employer) or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Terms. In that case, “you” and “your” will refer to that company or other legal entity.
2. Changes to the Terms or Services
We may modify the Terms at any time, at our sole discretion. If we do so, we will let you know either by posting the modified Terms on the Site or through other communications. If you continue to use the Services, including by keeping your files on the Services, after such a change, you are indicating that you agree to the modified Terms. We may also change or discontinue all or any part of the Services, at any time and without notice or liability, at our sole discretion.
3. Service Terms3.1. Who may use the Services. You may only use the Services if you are old enough to consent (by yourself and not by a parent or guardian) to share your data under applicable law. For example, you must be 13 years or older under most United States’ law, or 16 years or older under California or European Union law. If you are using Jaine Community or Ecosystem, you must be at least 16 years or older.3.2. Use Restrictions. Except as otherwise expressly authorized in these Terms, you will not, and will ensure your employees, contractors, and other persons associated with your Jaine account (“Authorized Users”) do not, and will not encourage or assist third parties to: (i) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, know-how, or algorithms relevant to the Services (except to the extent that such a restriction is impermissible under applicable law); (ii) provide, sell, resell, transfer, sublicense, lend, distribute, rent, or otherwise allow others to access or use the Services; (iii) copy, modify, create derivative works of, or remove proprietary notices from the Services; or (iv) circumvent any technical limitations implemented by Jaine.3.3. Acceptable Use Policy. You will comply with, and will ensure your Authorized Users comply with, Jaine’s Acceptable Use Policy available at https://jaine.ai/#acceptable-use-policy.3.4. Authorized Users; Accounts. As part of the registration process, you will identify an administrative username and password for your Jaine account. You represent and warrant that all registration information, including with respect to the list of domains owned or controlled by you for purposes of domain capture, you provide is truthful, accurate, and complete, and that you will maintain the accuracy of such information. You are responsible and liable for maintaining control over your account, including the confidentiality of your username and password, and are solely responsible and liable for all activities that occur on or through your account and all Authorized Users’ accounts, whether authorized by you or not.3.5. Feedback; Use Rights. We welcome feedback, comments, and suggestions (“Feedback”). As we need to be able to freely work with your Feedback to improve the Services, you hereby irrevocably transfer and assign all right, title, and interest (including all intellectual property rights, such as copyrights or trade secrets) in and to the Feedback, including any and all “moral rights” that you might have in such Feedback, and you hereby forever waive and agree never to assert any and all “moral rights” you may have in the Feedback. Jaine will have the right to collect and analyze data and other information relating to the access, use, and performance of the Services (“Usage Data”) and Jaine will be free (during and after the Term) to use Usage Data in de-identified and aggregated form to maintain, improve, and enhance Jaine’s products and services. Examples of Usage Data include technical logs, metadata, telemetry data, and usage information about Customer Content, such as how many times it is accessed. For clarity, Usage Data excludes Customer Content itself.3.6. Reservation of Rights. As between the parties, Jaine owns all right, title, and interest in the Services, and you own all right, title, and interest in any application(s) and/or material(s) that are developed by you on the Services or uploaded to the Services by you (“Customer Content”). Except as expressly set forth in these Terms, each party retains all right, title, and interest in and to its intellectual property rights. All rights not expressly granted are reserved, and no license, covenant, immunity, transfer, authorization, or other right will be implied, by reason of statute, estoppel, or otherwise, under these Terms.3.7. Patent Assertion Entities. A “Patent Assertion Entity,” sometimes referred to as a ‘non-practicing entity’ or a ‘patent troll,’ is (a) any entity that derives or seeks to derive most of its revenue from the offensive assertion of patent rights, or (b) directly or indirectly controls, is controlled by, or is under common control with an entity described in (a). If you are a Patent Assertion Entity or are acting on behalf of, or for the benefit of a Patent Assertion Entity, you will not assert, or authorize, assist, encourage, or enable any third party to assert, any claim, or pursue any actions, suits, proceedings, or demands, against Jaine or its affiliates that allege that the Services infringe, misappropriate, or otherwise violate any intellectual property rights (including patents). This section will survive any termination or expiration of these Terms.4. License4.1. License to Services. Subject to the terms and conditions of these Terms, we hereby grant you a limited, non-exclusive, non-transferable, non-sublicensable license worldwide (with the exception of (i) jurisdictions that are embargoed or designated as supporting terrorist activities by the United States Government and (ii) jurisdictions whose laws do not permit engaging in business with Jaine or use of the Services) for you to access and use the Services for your internal business or personal purposes, depending on your account type. If you have a free account you may use the Services for business or personal purposes, but paid accounts are intended for business use only.4.2. License to Community or Ecosystem Resources. If you use any Community or Ecosystem Resources available on Jaine Community or Ecosystem, you acknowledge and agree that (i) you are obtaining a license to the Community or Ecosystem Resource directly from the Community or Ecosystem Creator (not Jaine); (ii) your license is subject to the terms entered into between you and the Community or Ecosystem Creator, (iii) Jaine does not and will not have any responsibility or liability under any agreement between you and a Community or Ecosystem Creator (or to enforce any such agreement); (iv) by obtaining any Community or Ecosystem Resource on Jaine Community or Ecosystem, you have authorized us to share your relevant data (such as name and email address) with the Community or Ecosystem Creator; and (v) Community or Ecosystem Resources may be removed from Jaine Community or Ecosystem at any time for any reason.5. Charges and Payment [NOT APPLICABLE UNTIL GENERAL AVAILABILITY]5.1. Pricing. Certain Services are offered under different pricing plans, the limits and features of which are available at [TO BE ADDED AT GENERAL AVAILABILITY], and further governed by [TO BE ADDED AT GENERAL AVAILABILITY]. Your rights and obligations with respect to certain Services will be based in part on the pricing plan you choose.5.2. Payment Terms.5.2.1. Subscriptions. When you purchase our Services (each such purchase, a “Subscription”), you expressly authorize us or our third-party payment processor to charge you for such Services. For the avoidance of doubt, Subscriptions do not include any sales by third parties on Jaine Community or Ecosystem; such sales are covered by Section 5.2.2., below.5.2.2. Community or Ecosystem Purchases. If you purchase any Community or Ecosystem Resources on Jaine Community or Ecosystem, you acknowledge and agree that Jaine is acting as the Community or Ecosystem Creator’s disclosed commercial agent for the sale, so you are required to make any payments directly to us and you expressly authorize us or our third-party payment processor to charge you for such Community or Ecosystem Resources. The applicable fees, including any recurring fees, for Community or Ecosystem Resources or Ecosystem are specified during the payment process.5.2.3. You represent and warrant that you have the legal right to use all payment methods that you provide to us.5.2.4. All fees are stated and solely payable in U.S. Dollars (unless otherwise stated during the payment process), non-cancelable, non-refundable (except as otherwise expressly set forth in these Terms), and not subject to setoff.5.2.5. In the event that you fail to pay the full amount owed to us, we may limit your access to the Services, in addition to any other rights or remedies we may have.5.3. Authorization for Recurring Payments.5.3.1. All Subscription pricing plans involve recurring fees (each, along with any applicable taxes and other charges are a “Subscription Fee”). Depending on which options you choose, those fees may recur each month, quarter or year thereafter, at the then-current rate. Please note that our fees are subject to change, although we will notify you before we effect any change.5.3.2. By agreeing to these Terms and purchasing a Subscription, you acknowledge that your Subscription has recurring payment features and you accept responsibility for all recurring payment obligations prior to cancellation of your Subscription by you or Jaine. We (or our third party payment processor) will automatically charge you in accordance with the term of your Subscription (e.g., each month, quarter, or year), on the calendar day corresponding to the commencement of your Subscription using the payment information you have provided.5.3.3. In the event your Subscription begins on a day not contained in a later month, your payment method will be charged on such other day as we deem appropriate. For example, if you started a monthly Subscription on January 31st, your next payment date is likely to be February 28th, and your payment method would be billed on that date. We may also periodically authorize your payment method in anticipation of applicable fees or related charges.5.3.4. Your Subscription continues until canceled by you or we terminate your access to or use of the Services or the Subscription in accordance with these Terms.5.4. Canceling Subscriptions5.4.1. You may cancel your Subscription at any time but please note that such cancellation will only be effective at the end of the then-current Subscription period. Unless required by law, you will not receive a refund of any portion of the subscription fee paid for the then current subscription period at the time of cancellation.5.4.2. To cancel, you can either (i) email us at [email protected] and follow any instructions, if any, we provide to you in response to your cancellation request, or (ii) for some kinds of Subscriptions, initiate a cancellation through your Jaine account settings within the Services. You will be responsible for all Subscription Fees incurred for the then-current Subscription period. Canceling your Subscription will not terminate your Jaine account. See Section 10 (Termination) below for information on terminating your Jaine account.5.5. Taxes. All fees do not include taxes, and you agree to: (a) pay all sales/use, gross receipts, value-added, GST, personal property, or other tax (including any interest and penalties) with respect to the transactions and payments under these Terms, other than taxes based on our income, employees, or real property; and (b) be responsible for any filing of any information or tax returns with respect thereto. If we were required to collect a tax and did not do so at the time of sale, we reserve the right to later charge you for the applicable tax.5.6. Withholding. All payments made by you to us under these Terms exclude any deduction or withholding. If any such deduction or withholding (including but not limited to cross-border withholding taxes) is required by law, you will pay such additional amounts as are necessary so that the net amount received by us after such deduction or withholding will be equal to the full amount that we would have received if no deduction or withholding had been required. Each party will use commercially reasonable efforts to work with the other party to help obtain, reduce, or eliminate any necessary withholding, deduction, or royalty tax exemptions where applicable.6. Confidentiality.6.1. Confidential Information. We (the “Discloser”) have disclosed or may disclose proprietary or non-public business, technical, financial, or other information (“Confidential Information”) to you (the “Recipient”). Our Confidential Information expressly includes non-public information regarding features, functionality, and performance of the Services, including security related information.6.2. Obligations. The Recipient will use the Discloser’s Confidential Information only for the purpose of evaluating whether or not to use (or continue to use) the Services. The Recipient will not disclose the Discloser’s Confidential Information to parties other than the Recipient’s employees, contractors, affiliates, agents, or professional advisors (“Representatives”) who need to know it and who have a legal obligation to keep it confidential. The Recipient will ensure that its Representatives are subject to no less restrictive confidentiality obligations than those herein. Notwithstanding the foregoing, the Recipient may disclose the Discloser’s Confidential Information: (a) if directed by Discloser; or (b) to the extent required by applicable legal process, provided that the Recipient uses commercially reasonable efforts to (i) promptly notify the Discloser in advance, to the extent permitted by law, and (ii) comply with the Discloser’s reasonable requests regarding its efforts to oppose the disclosure. The obligations set forth herein will survive for so long as these Terms are in effect between the parties and for five years thereafter.7. Warranties and Disclaimers.7.1. In the event of any loss or corruption of any data associated with a Subscription, Jaine will use commercially reasonable efforts to restore the lost or corrupted data from the latest relevant backup maintained by Jaine. EXCEPT FOR THE FOREGOING, JAINE WILL NOT BE RESPONSIBLE FOR ANY LOSS, DESTRUCTION, ALTERATION, UNAUTHORIZED DISCLOSURE OR CORRUPTION OF ANY DATA.

7.2. We make no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness or reliability of any Services, and we make no guarantees around data retention or preservation. EXCEPT AS SET FORTH IN SECTION 7.1, THE SERVICES ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON-INFRINGEMENT AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.7.3. NON-JAINE RESOURCES. JAINE DOES NOT WARRANT OR SUPPORT, AND WILL NOT HAVE ANY RESPONSIBILITY OR LIABILITY OF ANY KIND FOR, ANY COMMUNITY OR ECOSYSTEM RESOURCES OR ANY OTHER APPLICATION(S) OR MATERIAL(S) THAT ARE DEVELOPED BY A PARTY OUTSIDE OF JAINE'S ORGANIZATION, INCLUDING DESIGN FILES, PLUGINS, WIDGETS, COMPONENT LIBRARIES, AND CODE COMPONENTS (COLLECTIVELY, “NON-JAINE RESOURCES”). NON-JAINE RESOURCES ARE PROVIDED BY THIRD PARTIES (SUCH AS COMMUNITY OR ECOSYSTEM CREATORS), NOT JAINE. ANY USE OF NON-JAINE RESOURCES IS SOLELY BETWEEN YOU AND THE APPLICABLE THIRD-PARTY PROVIDER, AND JAINE HAS NO RESPONSIBILITY OR LIABILITY FOR SUCH THIRD PARTY’S ACTIONS OR OMISSIONS.8. Indemnity. You will indemnify and hold harmless Jaine and its officers, directors, employees, and agents, from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Services; (ii) your Customer Content; (iii) your violation of these Terms, or (iv) your use of Community or Ecosystem Resources.9. Limitations of Liability.9.1. NEITHER JAINE NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES (“SUPPLIERS”) WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT JAINE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.9.2. IN NO EVENT WILL JAINE OR SUPPLIERS’ TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES EXCEED THE AMOUNTS YOU HAVE PAID TO JAINE IN THE PRECEDING TWELVE MONTHS FOR THE SERVICES, OR IF YOU HAVE NOT HAD ANY SUCH PAYMENT OBLIGATIONS, ONE HUNDRED UNITED STATES DOLLARS ($100).9.3. EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS TO ALLOCATE THE RISKS OF THESE TERMS BETWEEN THE PARTIES. THIS ALLOCATION IS REFLECTED IN THE PRICING OFFERED BY JAINE TO YOU AND IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THESE TERMS. THE LIMITATIONS IN THIS SECTION 9 WILL APPLY TO THE MAXIMUM EXTENT NOT PROHIBITED BY LAW AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY IN THESE TERMS.10. Termination.10.1. We may terminate your access to and use of the Services, at our sole discretion, at any time and without notice or liability to you, provided that if Jaine freezes your account or cancels your Subscription and the termination is not due to your breach of these Terms, Jaine will provide you a pro rata refund of pre-paid unused fees unless, in our reasonable estimation, we are not legally permitted to do so (in which case any refund rights are null and void).10.2. You may cease use of the Services at any time. If you are paying for a Subscription, you may terminate your Subscription through the process in Section 5.4. You may also cancel your Jaine account at any time by sending an email to [email protected].10.3. Upon any termination, discontinuation, or cancellation of Services or your Jaine account, the following provisions of these Terms will survive: Service Terms, Charges and Payment (to the extent you owe any fees at the time of termination); Confidentiality; provisions related to Usage Data and Customer Content; Warranties and Disclaimers; Indemnity; Limitations of Liability; Termination; and the Miscellaneous provisions under Section 11. Furthermore, we may remove or delete your Customer Content within a reasonable period of time after the termination or cancellation of Services or your Jaine account.11. Miscellaneous.11.2. Jaine AI Terms. The Jaine AI Terms available at https://jaine.ai/#ai-terms outline additional terms and conditions that apply to your Customer Content, Jaine artificial intelligence features, and how to control your AI-related settings. The Jaine AI Terms form a part of these Terms.11.3. Accessing Apps. The terms set forth on Exhibit A apply to any App accessed through or downloaded from any app store or distribution platform (like the Apple App Store or Google Play) where the App may now or in the future be made available (each an "App Provider"). For the avoidance of doubt, Apps do not include any Non-Jaine Resources such as Community or Ecosystem Resources.11.4. Privacy Policy. Our Privacy Policy https://jaine.ai/#privacy-policy governs how we collect, use and disclose information from the Services.11.5. Copyright and IP Policy. Jaine respects copyright law and expects its users to do the same. Jaine’s Copyright and IP Policy applies to you and is available at https://jaine.ai/#copyright-ip-policy.11.6. Trademark Guidelines. Jaine’s Trademark Guidelines apply to any use by you of Jaine’s Marks. If you or your Authorized Users use Jaine’s Marks, you will comply with, and will ensure your Authorized Users comply with, Jaine’s Trademark Guidelines, available at https://jaine.ai/#trademark-guidelines.11.7. Community Reviews and Comments. Should you write any reviews or provide any public comments on Jaine Community and Ecosystem, you grant Jaine a non-exclusive, royalty free, worldwide (except to the extent prohibited by applicable law), transferable license to use that content for any use reasonably related to Jaine Community and Ecosystem, and to permit others to do so.11.8. Force Majeure. Jaine will not be liable for, or be considered to be in breach of or default under these Terms on account of, any delay or failure to perform as required by these Terms as a result of any cause or condition beyond its reasonable control, so long as it uses commercially reasonable efforts to avoid or remove those causes of non-performance. If Jaine believes in good faith that it is legally prohibited from providing you or your Authorized Users with the Services, we may freeze your account and/or cancel your subscription at Jaine’s sole discretion.11.9. Notices. Any notices or other communications provided by Jaine under these Terms, including those regarding modifications to these Terms, will be given by Jaine: (i) via e-mail; or (ii) by posting to the Site. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.11.10. Severability. The invalidity or unenforceability of any provision of these Terms will not affect the validity or enforceability of any other provision hereof and it is the intent and agreement of the parties that these Terms will be deemed amended by modifying such provision to the extent necessary to render it valid, legal, and enforceable while preserving its intent or, if such modification is not possible, by substituting another provision that is legal and enforceable and that achieves the same objective.11.11. Groups. Certain features of the Services may allow you to participate in teams, groups or organizations (each a “Group”). In those situations, the administrator, owner, or equivalent of the Group (“Admin”) is responsible for the compliance of these Terms by each other member of the Group, payment of the Subscription Fee (if applicable), and all matters related to the Group. For clarity, each member of the Group is still responsible for their own compliance with these Terms.11.12. Assignment. These Terms (and your access to any of the Services) are not assignable or transferable by you without our prior written consent. Any purported assignment in violation of this section is null and void.11.13. Service Providers. For the avoidance of doubt, Jaine may engage third parties as service providers to the Services (for example, as of the date of these Terms, Jaine hosts the Services on Amazon Web Services).11.14. No Partnership. No agency, partnership, joint venture, or employment is created as a result of these Terms, and neither party has any authority of any kind to bind the other party in any respect whatsoever.11.15. Governing Law. These Terms will be governed by the laws of the State of California without regard to its conflict of laws provisions. The United Nations Convention on Contracts for the International Sale of Goods is specifically disclaimed.11.16. Dispute Resolution for Individuals
You and we both agree to resolve disputes related to your use of the Services or these Terms (each, a “Claim”) in binding arbitration instead of court, except that either party may bring suit in court to enjoin the infringement or other misuse of intellectual property rights.
What is arbitration?
Arbitration does not involve a judge or jury. Instead, a neutral person (the “arbitrator”) hears each party’s side of the dispute and makes a decision that is finally binding on both parties. The arbitrator can award the same relief as a court could, including monetary damages. While court review of an arbitration award is limited, if a party fails to comply with the arbitrator’s decision, then the other party can have the arbitration decision enforced by a court.
Can a Claim be part of a class action or similar proceeding?
NO. YOU AGREE TO RESOLVE YOUR CLAIMS WITH US SOLELY ON AN INDIVIDUAL BASIS, AND NOT AS PART OF A CLASS, REPRESENTATIVE OR CONSOLIDATED ACTION. WE AGREE TO DO THE SAME, WHETHER OR NOT YOU OPT OUT OF ARBITRATION. ACCORDINGLY, UNLESS YOU OPT OUT OF ARBITRATION, YOU AND WE BOTH ARE WAIVING THE RIGHT TO PURSUE OR HAVE A DISPUTE RESOLVED AS A PLAINTIFF OR MEMBER IN ANY CLASS, REPRESENTATIVE OR CONSOLIDATED ACTION.
What rules apply in the arbitration?
The arbitration will be conducted under the American Arbitration Association (“AAA”) Consumer Arbitration Rules (the “AAA Rules”). The AAA Rules are available at www.adr.org or by calling 1-800-778-7879.
How will the arbitration be conducted? How much does it cost?
The arbitration will be conducted by the AAA or a comparable arbitration body in the event the AAA is unable to conduct the arbitration. Payment of all filing, administration and arbitrator fees will be governed by the AAA Rules.
Unless the arbitrator finds your Claim frivolous, we’ll pay for all filing, administration and arbitrator fees if your Claim is for less than $10,000, and we won’t seek our attorneys’ fees and costs if we prevail in the arbitration. The arbitration may be conducted in writing, remotely (e.g., by videoconference), in San Francisco, California, United States or at some other location that we both agree to.
How do I start an arbitration proceeding?
To begin an arbitration proceeding against us, send a letter requesting arbitration and describing your Claim to [email protected], 2575 Glenwood Drive, Boulder, CO 80304. If we request arbitration against you we will give you notice at the email address or street address you provided.
INSTRUCTIONS FOR OPTING-OUT OF ARBITRATION
If you don’t want to agree to arbitrate your Claims as explained above, then you can opt-out of this arbitration agreement by notifying us of your decision in writing at [email protected], 2575 Glenwood Drive, Boulder, CO 80304. You must opt-out within 30 days of the date you first agree to these Terms or any updated Terms.
DISPUTE RESOLUTION IN THE ABSENCE OF ARBITRATION
The sole jurisdiction and venue for any Claims that are not handled by arbitration will be the state and U.S. federal courts located in San Francisco, California, and both parties consent to the jurisdiction of such courts. BY ENTERING INTO THESE TERMS, YOU AND JAINE ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY.
This Section 11.16 only applies to Claims between us and individuals, and is governed by The Federal Arbitration Act.
11.17. Dispute Resolution for Entities. If you are accessing and using the Services on behalf of a company or other legal entity, any claim, cause of action, or dispute between the company or other legal entity and Jaine arising out of or relating to these Terms or the Services will be resolved exclusively accordingly to the process set forth in Section 11.14, except that, to the extent legally permitted, (1) each party will be responsible for their own filing, administrative, arbitrative and similar fees, (2) the losing party will pay the prevailing party for all costs and attorney’s fees and (3) the AAA Commercial Arbitration Rules will apply to any arbitration between us.
11.18. Interpretation. Whenever the words “including,” “include,” “includes” or "such as" are used herein, they will be deemed to be followed by the phrase “without limitation.”
11.19. Beta Features and Free Trials. Product features clearly identified as Alpha or Beta features as well as any features, products, or services provided on a free trial basis (collectively “Early Access Features”) made available by Jaine are provided to you for testing and evaluation purposes only. Jaine does not make any commitment to provide Alpha or Beta features in any future versions of the Services. Jaine may immediately and without notice remove Alpha or Beta features for any reason without liability to you. Any features, products, or services provided on a free trial basis will be free of charge until the earlier of (a) the end of the evaluation period set forth by Jaine, or (b) the start date of any purchased subscriptions you order for the feature, product, or service being evaluated under the trial, or (c) termination by Jaine in its sole discretion. You are not obligated to use Early Access Features.
NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE TERMS, ALL EARLY ACCESS FEATURES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND AND WITHOUT ANY PERFORMANCE OBLIGATIONS. ANY DATA CUSTOMER ENTERS INTO THE JAINE PLATFORM DURING A FREE TRIAL MAY BE PERMANENTLY LOST.
11.20. Government Use. If you are a U.S. government or other U.S. governmental entity (or your use of the Services is for the U.S. government or another U.S. governmental entity), the following terms apply:

a. Use By or For the U.S. Government. The Services and related documentation are “commercial computer software,” (as defined at 48 C.F.R. §§ 2.101 and 252.227-7014(a)(1), and as the term is used in 48 C.F.R. §§ 12.212 and 227.7202, as applicable), and any associated services are “commercial services” as defined in 48 C.F.R. §2.101. The Services and related documentation are provided to U.S. Government and other governmental entities, for use by you or on your behalf, subject to these Terms and with only those rights to use, modify, reproduce, release, perform, display, or disclose commercial computer software, commercial computer software documentation, and technical data furnished in connection with the Services as provided in these Terms, except that, for U.S. Department of Defense agencies and end users, technical data customarily provided to the public is furnished in accordance with 48 C.F.R. § 252.227-7015. If a U.S. Government agency or end user has a need for rights not conveyed under these Terms, it must negotiate with Jaine to determine if there are acceptable terms for transferring such rights, and a mutually acceptable addendum to these Terms will be required in any applicable contract or agreement.b. Waived Terms. The sections in these Terms titled “Governing Law,” “Dispute Resolution,” “Indemnity,” and any other terms inconsistent with federal or other applicable U.S. law are hereby waived to the limited extent they are inconsistent with federal law or other applicable law pertaining to another governmental entity. If and to the extent any provision or term herein is so prohibited, such provision will be deemed modified only to the extent reasonably necessary to conform to applicable law but to give maximum effect to the provision or terms as written.11.21. Entire Terms. These Terms supersedes all other agreements between the parties relating to its subject matter. The parties expressly agree that any different or additional terms set forth in any purchase order, vendor portal, code of conduct, or other similar documentation provided by you will not apply between the parties even if signed, acknowledged or accepted by Jaine, unless Jaine specifically references this clause and waives its rights.Exhibit A - App Terms1. You acknowledge and agree that:These Terms are concluded between you and Jaine, and not with the App Provider, and Jaine (not the App Provider), is solely responsible for the App.2. The App Provider has no obligation to furnish any maintenance and support services with respect to the App.3. In the event of any failure of the App to conform to any applicable warranty, you may notify the App Provider, and the App Provider will refund the purchase price for the App to you (if applicable) and, to the maximum extent permitted by applicable law, the App Provider will have no other warranty obligation whatsoever with respect to the App. Any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Jaine.4. The App Provider is not responsible for addressing any claims you have or any claims of any third party relating to the App or your possession and use of the App, including, but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.5. In the event of any third party claim that the App or your possession and use of that App infringes that third party’s intellectual property rights, Jaine will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by these Terms.6. The App Provider, and its subsidiaries, are third-party beneficiaries of these Terms as related to your license to the App, and that, upon your acceptance of the Terms, the App Provider will have the right (and will be deemed to have accepted the right) to enforce these Terms as related to your license of the App against you as a third-party beneficiary thereof.7. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a terrorist- supporting country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.8. You must also comply with all applicable third party terms of service when using the App.

Jaine, Inc. and its affiliates’ (“Jaine,” “we,” “us,” and “our”) goal is to make design accessible to all. This Privacy Policy will help you understand how we collect, use and disclose your personal information and assist you in exercising the privacy rights available to you.
Capitalized terms not defined in this Privacy Policy have the meanings set forth in our Terms of Service https://jaine.ai/#terms-conditions.
2. SCOPE
This Privacy Policy applies to personal information processed by us, including on our websites (e.g., jaine.ai, app-jaine.ai and any other websites that we own or operate), our mobile applications, our application program interfaces, our collaboration tool services, and our related online and offline offerings (collectively, the “Services”).
This Privacy Policy does not apply to any third-party websites, services or applications, even if they are accessible through our Services. In addition, a separate privacy notice, available upon request if it applies to you, governs processing relating to our current employees and contractors.3. PERSONAL INFORMATION WE COLLECT
The personal information we collect depends on how you interact with our Services.
Information You Provide to Us
Account Information. When you create a Jaine account, we collect the personal information you provide to us, such as your name, email address, and potentially more in the future. If phone based two-factor authentication is offered and used, we collect a phone number.
Payment Information. Where we sell products and services through the Services, we may use third-party applications, such as the Apple App Store, Google Play App Store, Amazon App Store, and/or services such as Stripe to process your payments. These third-party applications will collect information from you to process a payment on behalf of Jaine, including your name, email address, mailing address, payment card information, and other billing information. Jaine does not receive or store your payment information, but it may receive and store information associated with your payment information (e.g., the fact that you have paid, the last four digits or your credit card information, and your country of origin).
Communication Information. We may collect personal information from you such as email address, phone number, mailing address, and marketing preferences when you request information about the Services, register for our newsletter, or otherwise communicate with us.
Candidate Information. We may post job openings and opportunities on the Services. If you reply to one of these postings or otherwise provide us with your candidacy information, we will collect and process the information you provide to us.
Customer Content. We collect applications and materials that are developed by you on the Services or uploaded to the Services by you. Customer Content may include personal information such as any names you use.Usage Data. We collect and analyze data and other information relating to the access, use, and performance of the Services (“Usage Data”). Examples of Usage Data include technical logs, metadata, telemetry data, Technical Data, as defined below, and usage information about Customer Content, such as how many times it is accessed. For clarity, Usage Data excludes Customer Content itself. Usage Data may include personal information such as information about your interactions with other users.Customer Service Information (including Training and Quality Assurance). If you call or otherwise interact with Jaine’s sales, customer service or support personnel, we collect the information you provide to our representatives. In addition, we may record telephone calls or video conferences between you and our representatives for training or quality assurance purposes.Student Account Information. If you qualify for Jaine for Education, we may collect basic information relating to your school and curriculum, such as your school name, school mailing address, school website and proof of registration. Note that, as provided in our Terms of Service https://jaine.ai/#terms-conditions, the Services are only for users 13 years old and over.Sweepstakes, Contests, Surveys and Events Information. In connection with sweepstakes, contests, surveys, conferences, and other events hosted, run or sponsored by us, you may provide information to us, or we may receive information about you, such as name, email address, mailing address, demographic data, and any information specific to the event.Information Collected Automatically (Technical information)Automatic Data Collection. We collect certain information automatically when you use the Services. This information may include your Internet protocol (IP) address, user settings, MAC address, cookie identifiers, mobile advertising and other unique identifiers, details about your browser, operating system or device, location information (inferred from your IP address), internet service provider, pages that you visit, information about the links you click, and information about how you interact with and use the Services.With your permission, we may also collect information about your operating system’s installed fonts in connection with providing the Services to you.Cookies, Pixel Tags/Web Beacons, and Analytics Information. We, as well as third parties that may provide content, advertising, or other functionality on or in connection with the Services, may use cookies, pixel tags, local storage, and other technologies (“Technologies”) to automatically collect information through the Services. Technologies are essentially small data files placed on your device that allow us and our partners to record certain pieces of information whenever you visit or interact with our Services.
Cookies. Cookies are small text files placed in device browsers to store their preferences. For more information about how to control what data are collected by cookies, see below in the “Your Choices” section.
Pixel Tags/Web Beacons. A pixel tag (also known as a web beacon) is a piece of code embedded in the Services that collects information about engagement on the Services. The use of a pixel tag allows us to record, for example, that a user has visited a particular web page or clicked on a particular advertisement. We may also include web beacons in e-mails to understand whether messages have been opened, acted on, or forwarded.Information from Other Sources
Jaine Customers. If you use our Services on behalf of, or in collaboration with, an organization (e.g., your employer), that organization may provide us with information about you so that we can provision your account.
Third Party Services and Organizations. We may obtain information about you from other sources, including from third party services and organizations. For example, if you access our Services through a third-party service, we may collect information about you from that third-party service that you have made available via your privacy settings.4. In certain situations, we require your data to pursue our legitimate interests in a way which is reasonable for you to expect as part of running our business and which does not materially affect your rights and freedoms. Providing and managing the Services or information requested, such as: account creation; managing your information and account; responding to questions, comments, and other requests; processing payment card and/or other financial information to facilitate your use of the Services;
managing payments and recovery of debts due to us; providing access to certain areas, functionalities, and features of our Services, including the sharing of content with friends, colleagues and other users, and certain AI powered functionality if this option is in use on your account; answering requests for customer or technical support; and responding to requests in relation to personal information processed about the individual.
This includes: the processing of all categories of information except for Candidate Information.
Legal Basis: Performance of the contract with you. Necessary for our legitimate interests to recover debts due to us. Necessary for our legitimate interests to respond to and communicate with you (where we do not have a contractual relationship or legal obligation to do so). Necessary to comply with a legal obligation (including national data protection and consumer protection laws, for example to respond to requests in relation to personal information processed about the individual)
4.2. Communicating with you about your account, activities on our Services and Privacy Policy or terms of service changes.

Legal Basis: Performance of a contract with you. Necessary for our legitimate interests (to study how customers use our products/services, and to develop them and grow our business).

Carrying out surveys for user research and analyzing your feedback.This includes: the processing of your Surveys and Events Information and Account Information, Student Account Information, Communications Information, and Use of Services Information.Legal Basis: Necessary for our legitimate interests (to study how customers use our products/services, and to develop them and grow our business).4.7. Make suggestions and recommendations to you about goods or services that may be of interest to you.This includes: the processing of your Account Information, Student Account Information, Communications Information, and Usage Data.Legal Basis: Necessary for our legitimate interests (to develop our products/services and grow our business) (where consent is not required by marketing laws – in which case consent shall be relied upon).4.8. Recruiting and hiring, including considering your candidacy for employment.This includes: the processing of Candidate Information and Communication Information.Legal Basis: Necessary for our legitimate interests (to screen candidates and consider your suitability for a position). Entry into a contract with you.4.13. De-identifying data and creating aggregated information, such as aggregated statistics or for analytical purposes.We may choose to de-identify and create aggregated information out of any personal information you provide to us. For example, we could aggregate information about email addresses our users use to identify legitimate email providers versus spam providers, or we could aggregate the number of users who use a particular feature to determine which features are popular.Legal Basis: Necessary for our legitimate interests (to use personal information to create de-identified and/or aggregated information, such as de-identified demographic information, de-identified location information, and information about the device from which you access our Services. De-identified and/or aggregated information is used for several purposes, including research, industry analysis, analytics, and any other legally permissible purposes.)

5. DISCLOSING YOUR INFORMATION TO THIRD PARTIES
We may disclose any personal information we collect to the following categories of third parties:
Other Users of Jaine’s Services. When you use the Services to collaborate or interact with others (including viewing files of other users), we will disclose certain information to your collaborators. For example, you can create content, which may contain information about you, and grant permission to others to see, disclose, edit, copy and download that content based on settings you or your administrator (if applicable) select. In addition, some of the collaboration features of the Services display some or all of your information to other Service users when you disclose or interact with specific content. For example, when you comment, we display your profile picture (if you upload one) and name next to your comments so that other users with access to the comment know who made it. Similarly, when you join a team, your name, profile picture and contact information will be displayed in a list for other team members so they can find and interact with you. When you interact with a user’s file, information about your interaction, including your IP address and the actions you’ve taken in connection with the file, may be made available to the file’s administrator. If your Jaine account has the “domain capture” functionality enabled, your name, email and profile picture (if you upload one) will be disclosed to other users across your Jaine organization who share the same email domain. Please note that while we require all our users to comply with our acceptable use policy https://jaine.ai/#acceptable-use-policy, we are not responsible for privacy practices of users who receive information about you through the Services.
Jaine K12 Educational Accounts & Domain Capture. Jaine for Education’s Enterprise accounts have domain capture functionality enabled by default in order to protect against unauthorized access from users with a different email domain. With domain capture enabled your name, email and profile picture (if you upload one) will be disclosed to other users across your Jaine organization. This should be noted if email domains are shared across multiple educational institutions.The Public. Content can be made publicly available by you or others collaborating on it, and in such cases any information about you included in such content is also publicly available and can be indexed by search engines. You can check at any time whether particular content is public or private by viewing the content’s settings. In addition, in connection with your posting of content on Jaine Community, we will publicly disclose your profile picture, name, user handle, and Twitter (or other social networking site) handle (to the extent you have provided us with this information).Service Providers. We may disclose personal information we collect about you to our service providers. The categories of service providers to whom we entrust personal information include service providers for: (i) the provision of the Services; (ii) the provision of information, products, and other services you have requested; (iii) marketing and advertising; (iv) payment and transaction processing; (v) customer service activities; and (vi) the provision of IT and related services. Third-party services may include but are not limited to, for example, reCAPTCHA and anti-spam services provided by Arkose Labs, helpdesk support services provided by Intercom, analytic and experimental services provided by Statsig, subject to Statsig's Privacy Policy, and anti-spam services provided by Akismet subject to Akismet’s Privacy Policy.A future Jaine Store (e.g., https://store.jaine.ai/) and related subdomains may be operated by Shopify, and therefore subject to Shopify’s privacy policy. Certain cookies and chatbot features may be provided by third parties as well.
Your Organization and Administrator. If you access the Services on behalf of an organization (such as with your organization’s domain) or have your account paid for by another party, we will disclose your information to that organization or paying party at its request and give such organization certain rights over your information. For example, your organization may request that we provide extra security controls around your account to protect information about your organization or your organization may request that we link your Jaine account with your organization’s account to enhance collaboration. If you are the administrator of a team, organization or other account holder within the Services, we may disclose your contact information to current or past Service users related to you, for the purpose of facilitating Service-related requests. Please note that your information may also be subject to your organization’s privacy policy, and we are not responsible for the privacy or security practices of our customers.
Community or Ecosystem Creators. If you acquire any resources from third-party creators on Jaine Community or Ecosystem, in connection with the transaction we will disclose your relevant personal information to such creators, including your name and any other information reasonably related to the transaction. Any other information shared between you and the creator (if any) is governed by the creator’s privacy policy.
Third-Party Platforms and Services. We will disclose certain personal information to third-party platforms and/or services if you have expressly consented or requested that we do so. Please note we do not endorse, screen or approve, and are not responsible for, the practices or conduct of such third-party services.
Advertising Partners. Through our Services, we may allow third-party advertising partners to set Technologies and other tracking tools to collect information regarding your activities and your device (e.g., your IP address, cookie identifiers, page(s) visited, location, time of day). These advertising partners use this information (and similar information collected from other websites) for purposes of delivering targeted advertisements to you when you visit third-party services within their networks. This practice is commonly referred to as “interest-based advertising” or “personalized advertising.” If you prefer not to disclose your personal information to third-party advertising partners, you may follow the instructions under the Your Choices heading below.Disclosures to Protect Us or Others. Disclosure in the Event of Merger, Sale, or Other Asset Transfer. If we are involved in a merger, acquisition, financing due diligence, reorganization, bankruptcy, receivership, purchase or sale of assets, or transition of service to another provider, then your information may be sold or transferred in accordance with our legitimate interests in administering our business as part of such a transaction, as permitted by law and/or contract.

The personal information we process may be transferred to, processed and stored in jurisdictions which may have data protection laws that are different from the laws where you are located (and, in some cases, may not be as protective), and may be subject to access requests from governments, courts, or law enforcement in those jurisdictions according to applicable laws. 9. DATA RETENTION

Disclosure Regarding Sensitive Personal Information. Jaine only uses and discloses “sensitive personal information” as defined by the CCPA for the following purposes:
To perform the services or provide the goods reasonably expected by an average consumer who requests those goods or services.
To prevent, detect, and investigate security incidents that compromise the availability, authenticity, integrity, and or confidentiality of stored or transmitted personal information.
To resist malicious, deceptive, fraudulent, or illegal actions directed at Jaine and to prosecute those responsible for those actions.

Non-Discrimination. California residents have the right not to receive discriminatory treatment by us for the exercise of their rights conferred by the CCPA.

14. CHILDREN’S INFORMATION
The Services are not directed to children under 13 ((or other age as required by local law - please see Section 3. In many jurisdictions, including California and the EU, the Services may not be used by anyone under 16), and, except for limited circumstances set forth below, we do not knowingly collect personal information from children. If you learn that your child has provided us with personal information without your consent, you may contact us as set forth below. If we learn that we have collected a child’s personal information in violation of applicable law, we will promptly take steps to delete such information and terminate the child’s account, or, if appropriate and possible, seek written consent from such child’s guardian.
Although our Services are designed for a general audience, in some cases students under the age of thirteen may use the Services pursuant to an agreement we have with the student’s educational institution.15. SUPERVISORY AUTHORITY
If you are located in the European Economic Area or the UK, you have the right to lodge a complaint with a supervisory authority if you believe our processing of your personal information violates applicable law.

This Supplemental Privacy Policy for Children governs Jaine’s collection, use and disclosure of personal information from children under the age of thirteen in the United States who are students of Jaine’s educational institution customers (each a “Child” and collectively “Children”). This Supplemental Privacy Policy for Children supplements Jaine’s Privacy Policy to notify parents, guardians, schools, and/or school districts (each a “Responsible Parent”) of:

Personal Information Jaine Collects from Children
Jaine only collects personal information from a Child in connection with the creation or administration of the Child’s account or when the Child uses the Services in connection with their account.
Personal information that Jaine collects in connection with the creation or administration of a Child’s account may include the Child’s first and last name, email address, IP address, photograph (if uploaded by Child for profile), phone number if 2FA is enabled, job title, and educational records or details (including those provided by a school and/or school district). In addition, if a Child communicates with Jaine for support or other purposes, Jaine may collect personal information from the Child.
Jaine may collect certain personal information from Children automatically when they use our Services, such as Internet protocol (IP) address, user settings, cookie identifiers, mobile advertising and other unique identifiers, browser or device information, and Internet service provider. Jaine may also automatically collect personal information regarding a Child’s use of our Services, such as analytics about a Child’s use of the Services, personal information contained in any content a Child generates using our Services, details about the Child’s files created on our Services, pages that a Child visits, information about the links a Child clicks, the types of content a Child interacts with, the frequency and duration of a Child’s activities, and other information about how a Child uses our Services.
How Jaine Uses Children’s Personal Information

To the general public., if link sharing or posting to Jaine Community is turned on . Content can be made publicly available by a Child or others collaborating on it, and in such cases any information about a Child included in such content is also publicly available and can be indexed by search engines. A Child can check at any time whether particular content is public or private by viewing the content’s settings. In addition, in connection with a Child’s posting of content on Jaine Community, Jaine will publicly disclose the Child’s profile picture, name, user handle, and other online handle(s) (to the extent a Child has provided us with this information).To other users of the Services that a Child disclose to or interacts with.
To the teacher, school, and/or school district on whose behalf the Child uses the Services.
To service providers Jaine uses to provide the Services.If Jaine is required to do so by law or legal process, such as to comply with any court order or subpoena or to respond to any government or regulatory request.If Jaine believes the disclosure is necessary or appropriate to protect the rights, property, or safety of Jaine, its customers or others, including to:
protect the safety of a Child;
protect the safety and security of the Services; or enable Jaine to take precautions against liability.
To law enforcement agencies or for an investigation related to public safety.In addition, if Jaine is involved in a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Jaine’s assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding or event, Jaine may transfer the Children’s personal information it has collected or maintain to the buyer or other successor.
Jaine K12 Educational Accounts & Domain Capture. Jaine for Education’s Enterprise accounts have domain capture functionality enabled by default in order to protect against unauthorized access from users with a different email domain. With domain capture enabled your name, email and profile picture (if you upload one) will be disclosed to other users across your Jaine organization. This should be noted if email domains are shared across multiple educational institutions.
Third-Party Operators
Parental Choices and Controls
At any time, a Responsible Parent may use the Services to review a Child's personal information, require Jaine to correct or delete a Child’s personal information, and/or refuse to permit Jaine from further collecting or using a Child’s personal information. Please keep in mind that a request to delete records may lead to a termination of an account and/or the Services.
Responsible Parent can request assistance from Jaine to change or delete Children’s personal information by sending Jaine an email at [email protected]. Jaine may require that Responsible Parent take certain steps or provide additional information to verify its identity before Jaine provides any information or makes corrections.

Acceptable Use Policy

Effective date: September 19, 2024This Acceptable Use Policy applies to your use of anything that Jaine makes available, including Jaine’s SaaS platform, websites, and APIs (collectively, the “Services”). This policy outlines the standards of conduct we require on the Services and is designed to protect the integrity of the Services and other users. This policy may change as Jaine grows and evolves, so please check back regularly for updates and changes.1. Compliance with Laws and Regulations.
You are responsible for using the Service in compliance with all applicable laws and regulations and Jaine’s documentation or help pages. You will not use the Services in any manner that would violate applicable U.S. export controls or sanctions laws or regulations or cause Jaine to violate such laws or regulations (such as using the Services in a sanctioned jurisdiction or on behalf of a sanctioned person, entity, or government).
2. Conduct Restrictions.
While using the Services, do not:
a. damage, disable, override, interfere with, or circumvent any aspect of the Services (including any safety, integrity, or privacy filters, instructions, controls, safeguards, or other mechanisms offered by, as part of, or with the Services);b. interfere with the Services operation (e.g., by exceeding or trying to exceed load specifications or by using the Services to generate synthetic data) or anyone else’s use of the Services;c. test, penetrate, or scan the Services for security vulnerabilities or limitations, other than in compliance with a bug bounty program;d. impersonate anyone or misrepresent your connection with any person or entity;e. use the Services to compete with Jaine, or copy any ideas, features, functions, or graphics of the Services;f. distribute any unwanted communication (e.g., using the Services to send spam);g. use the Services for activities where use or failure of the Services could lead to death, bodily injury, damage to personal property, or environmental damage;h. access or use the Services in a manner intended to avoid incurring fees owed (e.g. by suppressing user count by downgrading users immediately before a billing or true-up event and re-upgrading the same users promptly thereafter);
i. act in bad faith;
j. scrape, data mine, or except as explicitly permitted by publicly available Jaine APIs, access Jaine or Jaine content (including third party content made available through Jaine) programmatically;
k. use a third party’s content without their permission (e.g., use stolen content);
l. deceive or mislead any person, including by indication, that any AI output was solely human generated or modify, tamper with, remove, obscure, or otherwise alter any metadata, digital signatures, or watermarks that identify AI output as generated using a generative artificial intelligence model;m. use the Services in a way that causes, or is intended to cause, bias, harm, or discrimination against an individual or to make solely automated decisions about individuals which could have a legal or similarly significant effect;n. use Jaine AI features in a manner that violates any third party provider policies identified in our Documentation;o. modify, or use anything that modifies, Jaine’s code or code execution; orp. use the Services in a manner that is intended to avoid applicable international sanctions in respect to an individual or organization.3. Content Restrictions
Do not upload or publish to the Services, or use the Services to distribute or create, anything that:
a. is fraudulent, false, misleading, or deceptive;b. is defamatory, obscene, pornographic, vulgar, or offensive;c. promotes, or is intended to promote, discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group;d. is violent or threatening or promotes violence or actions that are threatening to any person or entity;e. promotes illegal or harmful activities or substances;f. is malicious or destructive, such as software viruses, worms, trojan horses, spyware, dishonest adware, scareware, crimeware, or any other malicious or destructive software of programs;g. is illegal or solicits conduct that is illegal under laws applicable to you or Jaine;h. violates the rights of others, including data privacy, confidentiality, and/or intellectual property rights (e.g., upload or publish stolen content);i. is or includes sensitive information subject to regulation or protection under applicable laws, including but not limited to Special Category Data as defined under the General Data Protection Regulation (GDPR) (for example, data relating to race, religion, politics, health, genetics, biometrics, or sexual orientation);j. is or includes patient, medical, or other personal health information (including but not limited to protected health information under HIPAA);k. is or includes financial information, including but not limited to credit and debit card information;l. is or includes social security numbers or other government identifiers (for example IDs or passports); orm. is or includes protected data about minors (such as data protected by the Children’s Online Privacy Protection Act).
If you violate this policy or encourage, allow or assist others to do anything to violate this policy, we will take any action we consider necessary to protect Jaine, our users, and third parties. This may include quarantining or deleting data stored on the Services, removing any of your content, or suspending your use or access to the Services. Please note that violation of this policy may result in termination in accordance with our termination rights in our agreement with you. You will not be entitled to any credit or other compensation for any interruption of the Services caused by your violation of this policy.

AI Terms

Effective date: September 19, 2024These Jaine AI Terms (these “terms”) are between Jaine, Inc. (“Jaine”) and the customer agreeing to these terms (“you”). If you are agreeing to these terms on behalf of a company (such as your employer) or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these terms. In that case, “you” refers to that company or other legal entity. These terms are expressly incorporated into your existing customer agreement with Jaine (your “Customer Agreement”). These terms will govern if they conflict with any of the other terms in your Customer Agreement.Access to Jaine AI. Jaine AI is made available to you on the terms and conditions that apply to the Jaine Platform in your Customer Agreement. Just like when you use the Jaine Platform generally, you are responsible for using Jaine AI in accordance with Jaine’s Acceptable Use Policy available at https://jaine.ai/#acceptable-use-policy. “Jaine AI” means feature(s) and functionality made available by Jaine that are identified by Jaine as artificial intelligence (AI) features.Input, Output, and Ownership. You may provide or make available prompts, images, materials, files, and other content to Jaine AI (“Input”), and receive images, materials, files, and other content generated and returned by Jaine AI based on that Input (“Output”). Input and Output are Customer Content. As between you and Jaine, you retain all right, title, and interest in your Input and Output, and Jaine retains all right, title, and interest in the Jaine Platform (including improvements and enhancements to the Jaine Platform, along with new products and features). “Customer Content” means the applications and materials that you develop on or upload to the Jaine Platform.Jaine may use your Customer Content to maintain, improve, and enhance Jaine’s products and services by training machine learning and artificial intelligence algorithms and models.
